Terms of Participation

These Terms of Participation apply to all Half Nester™ courses, programs, memberships, cohorts, communities, digital products, workshops, free resources, live events, and related services offered by Dr. Valerie Woo Consulting.

Half Nester™ is operated by Dr. Valerie Woo Consulting (“Company,” “we,” “us,” or “our”). By purchasing, enrolling in, accessing, downloading, joining, or participating in any Half Nester™ product, program, course, membership, cohort, community, event, or free resource, you (“Participant,” “Client,” “Member,” or “you”) agree to the following terms.

Please read these Terms carefully before purchasing or participating.

1. Program and Services

Dr. Valerie Woo Consulting agrees to provide access to the Half Nester™ program, membership, course, cohort, community, digital product, workshop, free resource, or service identified at checkout, on the sales page, or in the applicable enrollment materials.

Half Nester™ offerings may include, but are not limited to:

• Online courses
• Self-paced lessons
• Digital workbooks and worksheets
• Interactive resources
• Podcasts or private audio lessons
• Email courses
• Free guides or downloads
• Live or recorded workshops
• Group cohorts
• Facilitated discussions
• Membership communities
• Coaching-style educational experiences
• Speaking or event-related resources

The specific features, access period, pricing, bonuses, and delivery format for your purchase will be described on the applicable sales page, checkout page, or enrollment materials.

By participating, you agree to follow all policies, procedures, community expectations, and guidelines shared by the Company.

2. Educational Purpose Only

Half Nester™ is created for educational, personal growth, reflection, leadership development, and community support purposes.

The content is intended to help participants reflect on life transitions, identity shifts, family dynamics, leadership, purpose, rhythm, emotional capacity, and personal sustainability. It is not a substitute for individualized professional advice.

You understand and agree that Half Nester™ does not provide:

• Medical advice
• Mental health counseling
• Therapy
• Psychiatric care
• Legal advice
• Financial advice
• Tax advice
• Investment advice
• Religious counseling
• Crisis intervention
• Diagnosis or treatment of any physical, mental, emotional, or medical condition

Dr. Valerie Woo and Dr. Valerie Woo Consulting are not acting as your physician, therapist, psychologist, psychiatrist, attorney, accountant, financial advisor, registered dietitian, or licensed mental health provider.

If you are experiencing a medical, emotional, mental health, legal, financial, or crisis-related concern, you should seek support from an appropriately licensed professional.

3. No Professional Relationship Created

Your purchase, enrollment, participation, or access to Half Nester™ does not create a doctor-patient, therapist-client, attorney-client, financial advisor-client, or other licensed professional relationship.

Any personal stories, examples, reflections, frameworks, or educational content shared by Dr. Valerie Woo, guest contributors, facilitators, or community members are for general educational and inspirational purposes only.

If the parties choose to enter into a separate coaching, consulting, speaking, or professional relationship, that relationship will be governed by a separate agreement.

4. Participant Responsibility

You understand and agree that you are fully responsible for your own choices, decisions, actions, results, and well-being.

Half Nester™ provides tools, reflection prompts, frameworks, lessons, community discussion, and educational resources. However, your results will depend on many factors, including your personal circumstances, consistency, support system, willingness to participate, stage of life, health, mindset, and implementation.

We do not guarantee that you will experience any particular result, transformation, emotional outcome, business result, financial result, relationship improvement, health outcome, or life change.

You agree to use your own judgment and seek appropriate professional support when needed.

5. Personal Growth Disclaimer

Half Nester™ may invite reflection on meaningful life transitions, family changes, aging parents, children launching, marriage or partnership shifts, career identity, emotional overwhelm, burnout, reinvention, purpose, and personal sustainability.

While the content is designed to be supportive and encouraging, it may bring up personal emotions or memories. You are responsible for deciding how deeply you engage with the material and whether additional professional support would be helpful.

Half Nester™ is not designed to treat trauma, depression, anxiety, grief, burnout, medical conditions, or any mental health diagnosis.

If you are in crisis, feel unsafe, or need immediate help, please contact emergency services or a qualified crisis support resource in your area.

6. Payment Terms

By purchasing a Half Nester™ product, program, membership, cohort, course, workshop, or digital resource, you authorize Dr. Valerie Woo Consulting or its third-party payment processor to charge your selected payment method.

Payment may be made by credit card, debit card, PayPal, or other payment options made available at checkout.

You agree to provide current, complete, and accurate billing and payment information.

If your payment method is declined, expired, canceled, or otherwise unavailable, we may suspend or terminate your access until payment is successfully completed.

7. Subscriptions, Memberships, and Recurring Payments

Some Half Nester™ offerings may be sold as subscriptions or memberships with recurring payments.

If you enroll in a recurring subscription or membership, you authorize us or our payment processor to charge your payment method on a recurring basis according to the billing terms shown at checkout.

You are responsible for canceling your subscription before the next billing date if you do not wish to continue.

Unless otherwise stated at checkout:

• Cancellation stops future billing.
• Cancellation does not automatically create a refund for payments already processed.
• Partial months, unused access, or missed participation are not prorated or refunded.
• Access may continue through the end of the current billing period, unless otherwise stated.

8. Refund Policy

Unless otherwise stated in writing on the specific sales page, checkout page, or offer terms, all sales are final.

This includes, but is not limited to:

• Courses
• Memberships
• Digital products
• Downloads
• Workshops
• Cohorts
• Community access
• Templates
• Workbooks
• Free resource upgrades
• Event registrations
• Special promotional offers

Because many Half Nester™ products include immediate access to digital materials, recordings, downloads, or community spaces, we do not offer refunds once access has been granted, except where required by law or where a specific written refund policy applies to a particular offer.

9. Access to Program Materials

Access details will vary based on the specific product or program purchased.

You are responsible for maintaining your login credentials and protecting your account access.

You agree not to:

• Share your login information
• Allow others to access your account
• Copy or distribute course materials
• Download materials for anything beyond your personal use
• Use Half Nester™ materials to create competing products, programs, courses, workshops, or services
• Reproduce, teach, sell, license, or distribute Half Nester™ materials without written permission

We reserve the right to suspend or terminate access if we believe account sharing, misuse, unauthorized distribution, or intellectual property violation has occurred.

10. Intellectual Property Rights

All Half Nester™ materials are owned by Dr. Valerie Woo Consulting unless otherwise stated.

This includes, but is not limited to:

• The Half Nester™ name and brand
• The Half Nester™ trademark
• Course content
• Videos
• Audio recordings
• Workbooks
• Worksheets
• Downloads
• PDFs
• Slide decks
• Templates
• Frameworks
• Exercises
• Reflection prompts
• Email content
• Website copy
• Community content created by the Company
• Sales page language
• Graphics
• Logos
• Program structures
• Membership materials
• Free resources

Your purchase or enrollment grants you a limited, revocable, non-transferable, single-user license for your personal use only.

You are not granted ownership rights in any Company intellectual property.

You may not copy, reproduce, republish, upload, post, transmit, teach, modify, sell, distribute, create derivative works from, or use any Half Nester™ content for commercial purposes without prior written permission from the Company.

11. Use of the Half Nester™ Name

Half Nester™ is a protected brand of Dr. Valerie Woo Consulting.

You may refer to yourself as a participant, member, or graduate of a Half Nester™ offering, if accurate.

You may not use the Half Nester™ name, logo, frameworks, materials, or brand language in a way that suggests you own, represent, teach, certify, license, or operate Half Nester™ unless you have received written permission.

12. Confidentiality

We value trust, safety, and respectful sharing.

If you participate in a Half Nester™ cohort, membership, group discussion, live call, workshop, or community space, you may hear personal stories, reflections, challenges, or experiences shared by other participants.

You agree to keep private and confidential any personal information shared by other participants.

This includes, but is not limited to:

• Names
• Family details
• Personal stories
• Health-related disclosures
• Emotional experiences
• Relationship details
• Business information
• Contact information
• Private comments shared in group settings
• Any information that a reasonable person would understand to be personal or confidential

You agree not to record, screenshot, share, post, distribute, or repeat another participant’s personal information outside the program without that person’s clear permission.

This confidentiality obligation does not apply to information that is publicly available, already known to you, independently developed by you, lawfully obtained from another source, or required to be disclosed by law.

13. Community Guidelines

Half Nester™ is designed to be a supportive, respectful, thoughtful community.

By participating, you agree to:

• Treat others with kindness and respect
• Listen without judgment
• Avoid shaming, diagnosing, or fixing others
• Share the space
• Respect different life experiences, beliefs, family structures, and perspectives
• Keep personal information confidential
• Communicate honestly and thoughtfully
• Ask for support without demanding emotional labor from others
• Honor the purpose of the community

You agree not to:

• Harass, threaten, intimidate, or bully others
• Share hate speech or discriminatory content
• Post spam or unrelated promotions
• Solicit participants without permission
• Give medical, legal, financial, or mental health advice unless appropriately licensed and clearly authorized
• Share another person’s private information
• Disrupt the program, community, or live experience
• Use the community for networking, marketing, or sales without permission
• Record or distribute live sessions without authorization

We reserve the right to remove posts, moderate discussions, suspend access, or remove participants who violate these expectations.

14. Testimonials, Feedback, and Reviews

We may invite you to share feedback, written testimonials, video testimonials, reviews, survey responses, or success stories about your experience with Half Nester™.

You are never required to provide a testimonial.

If you voluntarily submit a testimonial, review, video, photo, comment, or feedback for promotional use, you grant Dr. Valerie Woo Consulting permission to use your submission, name, likeness, image, voice, and general identifying information as agreed upon in writing or through the permission process provided.

Testimonials and examples represent individual experiences and do not guarantee that every participant will have the same result.

Any testimonials used in marketing should be truthful, accurate, and reflective of the participant’s real experience. The FTC states that endorsements and testimonials must be truthful and not misleading.

You may contact us if you would like to request that a testimonial you provided be updated or removed.

15. Honest Reviews and Respectful Communication

We welcome honest feedback about your experience.

Nothing in these Terms is intended to prevent you from sharing truthful opinions, reviews, or experiences about Half Nester™, Dr. Valerie Woo Consulting, or our offerings.

However, you agree not to knowingly make false statements, disclose confidential information, violate another participant’s privacy, infringe intellectual property rights, or engage in harassment, threats, or unlawful conduct.

If you have a concern, we encourage you to contact us directly so we have an opportunity to understand and address it.

16. No Earnings, Business, Health, or Life Outcome Guarantee

Half Nester™ may include stories, examples, frameworks, reflection prompts, or participant experiences related to personal growth, leadership, sustainability, family life, career transitions, purpose, identity, or business ownership.

These examples are not promises or guarantees.

We do not guarantee:

• Income
• Business growth
• Career advancement
• Speaking opportunities
• Book deals
• Relationship improvement
• Emotional healing
• Reduced stress
• Improved health
• Specific personal transformation
• Community connection
• Any particular outcome from participating

Your results depend on your own circumstances, choices, implementation, support, and many other factors outside of our control.

17. Technology and Platform Access

Half Nester™ may be delivered through third-party platforms, including course hosting platforms, email providers, community platforms, payment processors, video hosting services, webinar tools, or scheduling tools.

We are not responsible for technical issues, outages, errors, interruptions, or changes caused by third-party platforms.

You are responsible for having the necessary internet access, device compatibility, email access, and software required to participate.

We will make reasonable efforts to provide access to purchased materials, but we cannot guarantee uninterrupted or error-free access.

18. Program Changes

We may update, modify, improve, replace, or discontinue portions of Half Nester™ offerings at any time.

This may include changes to:

• Lesson names
• Program structure
• Community features
• Facilitated discussion format
• Live call schedules
• Bonus content
• Downloads
• Worksheets
• Technology platforms
• Access details
• Pricing
• Enrollment availability

We will make reasonable efforts to provide the core product or service described at the time of purchase, but we reserve the right to make changes that improve or support the overall participant experience.

19. Live Cohorts and Group Participation

Some Half Nester™ offerings may include live cohorts, small group discussions, workshops, or facilitated conversations.

Live participation may depend on availability, scheduling, cohort size, and enrollment timing.

If a cohort includes a maximum number of participants, enrollment will be limited based on the terms described on the applicable sales page or registration page.

We do not guarantee that a particular group, facilitator, date, time, or participant mix will be available unless specifically stated in writing.

If you miss a live session, we are not obligated to provide a private makeup session unless that is specifically included in your purchase.

20. Free Resources

From time to time, we may offer free resources, including guides, quizzes, email courses, videos, webinars, worksheets, checklists, or other educational materials.

Free resources are provided for educational and informational purposes only.

We reserve the right to modify, remove, discontinue, or update free resources at any time.

Downloading or accessing a free resource does not create a professional relationship, guarantee future access, or entitle you to paid program content unless specifically stated.

21. Termination of Access

We reserve the right to terminate or suspend your access to any Half Nester™ product, program, membership, community, cohort, or service at our sole discretion if you:

• Violate these Terms
• Fail to make required payments
• Share login credentials
• Misuse program materials
• Violate intellectual property rights
• Breach confidentiality
• Disrupt the community or program experience
• Harass, threaten, or mistreat other participants
• Use the program or community for unauthorized solicitation or promotion
• Engage in conduct that negatively impacts the safety, integrity, or purpose of the program

If access is terminated due to a violation of these Terms, you will not be entitled to a refund and will remain responsible for any outstanding payments owed.

22. Limitation of Liability

You agree that your participation in Half Nester™ is at your own risk.

To the fullest extent permitted by law, Dr. Valerie Woo Consulting, Half Nester™, Dr. Valerie Woo, and their owners, directors, officers, employees, contractors, facilitators, representatives, affiliates, successors, assigns, and related entities will not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or other damages arising out of or related to your use of, participation in, or inability to access Half Nester™ products, programs, services, communities, or materials.

This includes, but is not limited to, damages related to:

• Personal decisions
• Emotional distress
• Business decisions
• Financial outcomes
• Relationship decisions
• Health-related choices
• Technology issues
• Loss of access
• Misuse of materials
• Actions taken based on program content
• Interactions with other participants

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless Dr. Valerie Woo Consulting, Half Nester™, Dr. Valerie Woo, and their owners, directors, officers, employees, contractors, representatives, facilitators, affiliates, successors, assigns, and related entities from and against any claims, liabilities, damages, losses, costs, expenses, or attorney’s fees arising out of or related to:

• Your participation in Half Nester™
• Your violation of these Terms
• Your misuse of program materials
• Your violation of another participant’s rights
• Your breach of confidentiality
• Your unlawful conduct
• Your use or misuse of any information, content, or resources provided

24. Independent Contractor Status

Nothing in these Terms creates a partnership, joint venture, employment relationship, agency relationship, franchise, or fiduciary relationship between you and Dr. Valerie Woo Consulting.

Both parties remain independent.

25. Force Majeure

We will not be liable for any delay, interruption, or failure to perform due to circumstances beyond our reasonable control.

This may include, but is not limited to:

• Natural disasters
• Illness
• Acts of God
• War
• Terrorism
• Government restrictions
• Internet outages
• Platform failures
• Labor disruptions
• Power outages
• Emergencies
• Events that make performance impossible, illegal, unsafe, or inadvisable

If such an event occurs, we may adjust schedules, delivery methods, timelines, or access as reasonably necessary.

26. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, if possible.

27. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Any waiver must be in writing to be effective.

28. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations as part of a business transaction, restructuring, sale, merger, acquisition, or transfer of assets.

29. Modifications to These Terms

We may update or modify these Terms from time to time.

When we update these Terms, we will revise the “Last Updated” date at the top of this page.

Continued access to or use of Half Nester™ products, programs, memberships, communities, websites, or services after updated Terms are posted means you acknowledge and agree to the updated Terms.

30. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia, unless otherwise required by applicable law.

Any disputes arising out of or related to these Terms, Half Nester™, Dr. Valerie Woo Consulting, or your participation in our offerings shall be handled in the appropriate courts located in Virginia, unless otherwise required by law.

31. Entire Agreement

These Terms, together with any applicable checkout terms, sales page terms, privacy policy, community guidelines, or written agreements, constitute the entire agreement between you and Dr. Valerie Woo Consulting regarding your participation in Half Nester™.

These Terms supersede any prior discussions, communications, proposals, or understandings related to the subject matter.
